These Terms and Conditions form the agreement between you ("the Client") and [CONTRACTING PARTY NAME], registration number [REGISTRATION NUMBER], of [REGISTERED ADDRESS], Plateau State, Nigeria ("we", "us", "the Developer"). They apply to every quote, invoice and project placed through this website. Read them with the Refund Policy, the Privacy Policy and the Cookie Policy.
1. Services
We design, build and deliver websites and related ICT and web services for business owners, and we may offer recurring monthly services (for example content updates or hosting care). The package, price, extras and delivery timeline are stated on your invoice. Anything not stated on your invoice is outside the project.
2. How an agreement is formed
You choose a package and timeline on the website and generate an invoice, or you send a custom request and we send you a quote.
You tick the box to accept these Terms before the invoice is generated. Ticking the box and paying the deposit is your electronic signature and acceptance of the invoice and these Terms.
An invoice is valid until the expiry date shown on it. After that date the price may change.
The agreement begins when the deposit has cleared and we have received the information we need to start (the "Start Date").
3. Prices and payment
Prices are in Nigerian Naira (NGN). Any applicable tax is shown on the invoice.
Payment is in two parts: a deposit of 50% of the total price to start the work, and the remaining 50% (the balance) on delivery.
Payments are made through Paystack. We never see or store your card details.
A payment is confirmed only when Paystack confirms it to us. A screenshot or a bank alert alone is not confirmation.
The balance is due when we tell you the work is ready for delivery. We hand over the final files, logins and ownership after the balance is paid.
If we never deliver, the balance is never due.
4. Timeline and milestones
The delivery timeline is the one you selected on the invoice and is counted from the Start Date.
We work to three milestones, scaled to the length of the project: a demo or design for your approval at 25% of the timeline, a progress review at 50%, and delivery at 100%. Example: for a one month project, the demo is due in week 1, the progress review in week 2 and delivery in week 4. For a two month project, the demo is due in week 2, the progress review in week 4 and delivery in week 8.
The timeline pauses while we wait for something from you (content, images, logins, feedback or payment). If you do not respond within 7 days of our request, the days you take are added to the timeline and do not count as our delay.
The first deliverable is a demo. The demo shows the design and flow. It may simulate functionality and is not the finished, working product.
5. Your responsibilities
Give us accurate, complete content and information on time, including text, images, logos and access details.
Make sure you own, or have permission to use, everything you give us. You are responsible for any claim that your content infringes someone's rights or breaks the law.
Review the demo and the progress review promptly and give clear, written feedback.
Keep your logins and payment details safe.
6. Approval of the demo and changes
When you approve the demo in writing (a message, an email or a reply that clearly says you approve), the design is fixed. We then build the project to match the approved demo.
A site that matches the approved demo is delivered as agreed, even if you later prefer a different design.
Changes to the approved scope or design are extra work. We will quote them separately and they may extend the timeline.
Small corrections that bring the site back in line with the approved demo are included.
7. Delivery, acceptance and corrections
Delivery means we show you the live, working site or hand over the final files.
You have 7 days from delivery to tell us in writing about any part that does not match the approved demo and invoice. We will correct genuine mismatches at no extra charge.
After that, we fix genuine bugs in the delivered work for 30 days at no extra charge. We do not fix problems caused by changes made by you or others, by third-party services, or by your hosting.
8. Ownership and portfolio
Ownership of the final delivered website passes to you only when the full price has been paid.
Until then we keep ownership of all work and may withhold the final files and logins.
We keep ownership of our own tools, code libraries and methods that we reuse across projects. You receive a permanent licence to use them as part of your website.
You allow us to show the finished work in our portfolio and marketing, unless you tell us in writing before delivery that you want it kept private.
9. Third-party services
Your website may rely on third parties such as hosting, domain names, email and payment providers. They have their own terms and prices. We are not responsible for their outages, changes or fees, but we will help you where we reasonably can.
10. Monthly services
Monthly services are billed each month in advance at the price on your invoice and continue until you cancel.
You may cancel with 30 days' written notice. Amounts already paid for the current month are not refunded.
11. Cancellation and refunds
Refunds are governed by the Refund Policy. Once the demo is approved and work has started, the project must be completed. You cannot cancel it and claim a refund except as the Refund Policy allows.
12. Confidentiality
Each of us keeps the other's non-public information confidential and uses it only for the project. This does not apply to information that is public, that the law requires us to disclose, or that we are allowed to show under section 8.
13. Limitation of liability
We carry out the services with reasonable skill and care. We do not promise that a website will be free of all errors or will earn a particular amount of traffic, sales or search ranking.
To the extent the law allows, our total liability to you for any claim connected with a project is limited to the amount you paid us for that project.
We are not liable for indirect or consequential loss, such as lost profit, lost business or lost data.
Nothing in these Terms excludes or limits any liability or right that cannot be excluded or limited under Nigerian law, including your rights under the Federal Competition and Consumer Protection Act 2018.
14. Events beyond our control
Neither of us is in breach for delay caused by events outside our reasonable control, for example power or internet failure, natural disaster, government action, strike or a failure of a third-party platform. The affected timeline is extended for the length of the event.
15. Ending the agreement
Either of us may end the agreement if the other commits a serious breach and does not fix it within 14 days of written notice. Ending the agreement does not cancel money already due. Sections that are meant to continue (ownership, confidentiality, liability, disputes) continue after it ends.
16. Your personal information
We handle your personal information as described in the Privacy Policy, in line with the Nigeria Data Protection Act 2023.
17. Changes to these Terms
We may update these Terms. The version that applies to your project is the one you accepted when you generated your invoice. Updates apply to later invoices.
18. General
These Terms and your invoice are the whole agreement. They replace earlier discussions about the same project.
If part of these Terms is found unenforceable, the rest still applies.
You may not transfer the agreement to someone else without our written consent.
Notices must be in writing and sent to the email addresses on the invoice or to [CONTACT EMAIL].
Not enforcing a right at once does not mean we give it up.
19. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria.
We will first try to settle any dispute by talking. Write to [CONTACT EMAIL] and describe the problem.
If it is not settled within 30 days, the dispute goes to mediation or arbitration under the Arbitration and Mediation Act 2023, with the seat in Jos, Plateau State, before a sole arbitrator.
The courts of Jos, Plateau State have jurisdiction over any matter that goes to court, including enforcing an award.

Refund Policy
Draft. This text has not yet been approved by a lawyer.
Last updated: 29 October 2026
This Refund Policy is part of the Terms and Conditions. It explains what you get back if a project does not go ahead. All refund amounts are worked out on the deposit you paid, which is 50% of the total price.
1. The milestones
Every project runs to three milestones, scaled to the agreed timeline:
Demo or design for your approval: at 25% of the timeline.
Progress review: at 50% of the timeline.
Delivery: at 100% of the timeline.
Examples: a one month project has its milestones at weeks 1, 2 and 4. A two month project has them at weeks 2, 4 and 8. A twelve month project has them at months 3, 6 and 12.
2. Summary
We did nothing and you heard nothing: you get 100% of your deposit back.
We started, then failed to deliver on time and you do not want to give us more time: you get 50% of your deposit back. That is 25% of the total price.
You cancel after we started work but before you saw the demo: you get 50% of your deposit back.
You approved the demo and we are building it, or we built what you approved: no refund.
The balance is never charged if we do not deliver.
Example: on a 100,000 naira project you pay a 50,000 naira deposit. A 100% refund returns 50,000 naira. A 50% refund returns 25,000 naira.
3. Full refund of the deposit (100%)
You are entitled to a full refund of your deposit if we have not shown you a demo and have not given you any written update or work by the first milestone date, and:
you send us written notice at [CONTACT EMAIL] that you want a refund, and
we still have not shown you a demo or reached out to you with a real update within 14 days of that notice.
In this case we have not started work for you, so you get your whole deposit back.
4. Partial refund of the deposit (50%)
You are entitled to a refund of 50% of your deposit in these cases:
Late delivery after work has started. We showed you a demo or progress but did not deliver by the delivery date. You send us written notice. If we still have not delivered within 14 days of the notice, and you choose a refund instead of giving us more time, we refund 50% of your deposit.
You cancel before seeing the demo. You tell us in writing that you want to cancel before we have shown you a demo, and we had already started working. The work done up to that point is paid for from the other 50%.
5. No refund
No refund is due in these cases:
You approved the demo in writing, we started building, and you later change your mind or no longer want the project.
You are unhappy with a finished site that matches the demo you approved.
Changes you ask for that were not in the approved scope. They are extra work and are quoted separately.
Delay caused by you, for example late content, late feedback, late payment or no reply to our questions (see section 4 of the Terms). Time you take extends the timeline and does not count as our delay.
The balance after you have received delivery and paid it.
Monthly service fees already paid for the current month.
Once the demo is approved and work has started, the project must be completed. The only exception is a fault on our side as set out in sections 3 and 4. If you have a serious reason for stopping that is not our fault, contact us at [CONTACT EMAIL]. We will listen. Any refund in that case is at our sole discretion and is not a right.
6. How to claim
Write to [CONTACT EMAIL] with your name, invoice number and the reason. Say which of the cases above applies.
We reply within 5 working days.
Approved refunds are sent to the original payment method through Paystack, or by bank transfer if that is not possible, within 14 days of approval.
7. Your legal rights
This policy does not remove any right you have under Nigerian law, including the Federal Competition and Consumer Protection Act 2018. If the law gives you a greater remedy than this policy, the law applies.
